1 Definitions and Interpretation
In these Terms and Conditions, the following definitions apply unless the context otherwise requires:
- "Company" refers to Resolute Security Services (U) Ltd, a private security company licensed by the Uganda Police Force and incorporated under the laws of the Republic of Uganda.
- "Client" refers to any individual, organisation, business, institution, or government body that engages or contracts the services of the Company.
- "Services" refers to any security-related service provided by the Company, including but not limited to manned guarding, CCTV monitoring, alarm monitoring, close protection, K9 services, emergency response, escort duties, investigations, and events security management.
- "Agreement" means any written or verbal contract between the Company and the Client for the provision of Services.
- "Personnel" means all employees, contracted officers, agents, and representatives of the Company deployed in the provision of Services.
- "Site" refers to any premises, property, or location at which the Company deploys its Personnel or equipment.
2 Company Information
Resolute Security Services (U) Ltd is a legally registered and licensed private security company operating under the laws of the Republic of Uganda.

3 Scope of Services
The Company provides a comprehensive range of professional security services. The specific scope of services provided to a Client shall be defined in a written Service Agreement or formal contract between the parties. Services include but are not limited to:
- Manned Guarding (armed and unarmed)
- Close Protection and Bodyguarding
- Emergency Reaction Team Services
- 24-Hour Alarm Monitoring
- 24-Hour Remote CCTV Monitoring
- Construction Site Security
- Escort Duties (including cash-in-transit)
- Civil and Criminal Investigations and Background Checks
- Canine (K9) Dog and Handler Services
- Firefighting Equipment Supply, Installation and Maintenance
- Events Security Management
- Casual Labour Sourcing and Management
The Company reserves the right to decline or discontinue any service that it determines, at its sole discretion, to present unacceptable risk to its Personnel or to be unlawful under Ugandan law.
4 Service Agreements and Contracts
All engagements shall be governed by a formal written Service Agreement signed by both parties. The Agreement shall specify the nature, duration, location, and remuneration of services to be rendered.
- No service shall commence until a Service Agreement has been executed and any agreed deposit or advance payment has been received.
- Verbal agreements may be honoured at the Company's discretion but shall not be enforceable against the Company in the absence of a written agreement.
- Any amendments to an existing agreement must be made in writing and signed by authorised representatives of both parties.
- The minimum contract period for permanent guarding services is typically three (3) calendar months, unless otherwise agreed in writing.
5 Client Obligations
The Client agrees to fulfil the following obligations throughout the duration of any Service Agreement:
- Provide a safe and suitable working environment for all Company Personnel deployed at the Site, including adequate shelter, lighting, sanitation, and access to welfare facilities.
- Notify the Company promptly of any changes to site conditions, risk levels, or access requirements that may affect the safety or effectiveness of deployed Personnel.
- Not instruct Company Personnel to carry out duties that fall outside the defined scope of the Service Agreement without prior written consent from the Company.
- Treat all Company Personnel with respect and dignity. Any Client that subjects Company Personnel to harassment, abuse, or unlawful instruction shall be in breach of contract.
- Provide timely and accurate information required for the Company to conduct security risk assessments and deploy appropriate resources.
- Ensure that all relevant Site Instructions, access codes, emergency contacts, and security protocols are communicated to deployed Personnel at the commencement of duty.
6 Fees, Payment and Invoicing
All fees for services shall be as agreed in the Service Agreement. The following general payment terms apply:
- Invoices are issued monthly in arrears unless otherwise agreed. Payment is due within fourteen (14) calendar days of the invoice date.
- The Company reserves the right to charge interest on overdue invoices at the rate of 2% per month on any amount outstanding beyond the agreed payment period.
- The Company reserves the right to suspend or withdraw services without liability in the event of non-payment exceeding thirty (30) days beyond the due date, following written notice to the Client.
- All fees are quoted in Uganda Shillings (UGX) unless otherwise specified. International clients may arrange payment in an agreed foreign currency at the applicable exchange rate on the date of invoice.
- Any request for additional services not covered by the existing agreement may attract additional charges, which shall be agreed in writing before commencement.
- The Company reserves the right to revise its service rates with a minimum of thirty (30) days' written notice to the Client.
7 Liability and Indemnity
The Company shall exercise reasonable care and professional skill in the delivery of all Services. However, the following limitations and exclusions apply:
- The Company shall not be liable for any loss, theft, damage, or injury that occurs despite reasonable security measures being in place unless such loss is directly attributable to the gross negligence or wilful misconduct of Company Personnel.
- The Company's total liability to a Client in respect of any single incident or series of related incidents shall not exceed the value of fees paid to the Company under the relevant Service Agreement in the preceding three (3) months.
- The Company shall not be liable for losses arising from circumstances beyond its reasonable control, including but not limited to acts of terrorism, civil unrest, natural disasters, or failure of third-party systems.
- The Client agrees to indemnify and hold harmless the Company, its Directors, officers, and Personnel from and against any claims, demands, losses, or expenses arising from the Client's breach of these Terms, negligence, or unlawful conduct.
- The Company does not guarantee the complete prevention of crime, theft, or security incidents. Security services are designed to deter, detect, and respond — not to provide an absolute guarantee of security outcomes.
8 Personnel and Conduct
The Company is responsible for the selection, training, supervision, and disciplinary management of all Personnel. The following standards apply:
- All Personnel are vetted by the Uganda Police Force prior to deployment and have undergone a minimum of 4–6 weeks of intensive security training.
- The Company shall ensure that all deployed Personnel are properly uniformed, equipped, and briefed on their duties before reporting to a Client's site.
- The Company reserves the right to reassign or replace Personnel at its discretion while maintaining continuity of service.
- Clients must not directly employ or subcontract any Company Personnel for any purpose without the prior written consent of the Company. Any violation of this clause shall entitle the Company to a placement fee equivalent to six (6) months' salary of the recruited individual.
- Clients must report any concerns regarding the conduct or performance of Personnel directly to the Company's Operations Manager and not take unilateral disciplinary action against Company Personnel.
9 Confidentiality
Both parties agree to maintain strict confidentiality with regard to all information shared in the course of the business relationship. This includes, but is not limited to:
- Security plans, procedures, access codes, alarm systems, and vulnerability assessments relating to the Client's site.
- Commercial terms, pricing, and contractual arrangements between the parties.
- Any personal data or sensitive information relating to employees, residents, or visitors of the Client.
This confidentiality obligation shall survive the termination of any Service Agreement and shall remain in force for a period of three (3) years from the date of termination unless disclosure is required by law.
10 Termination of Services
Either party may terminate a Service Agreement subject to the following conditions:
- Client Termination: The Client must provide a minimum of thirty (30) days' written notice to terminate any ongoing security services agreement.
- Company Termination: The Company may terminate an agreement with thirty (30) days' written notice, or immediately in the event of non-payment, Client breach, or circumstances that place Company Personnel at unacceptable risk.
- In the event of termination, the Client shall remain liable for all outstanding fees and charges accrued up to the date of termination.
- Early termination by the Client before the minimum contract period expires may attract an early termination fee as specified in the Service Agreement.
11 Force Majeure
Neither party shall be held in breach of its obligations under these Terms where such failure to perform arises from circumstances beyond its reasonable control, including but not limited to:
- Acts of God, natural disasters, floods, or extreme weather events
- Acts of terrorism, armed conflict, civil disturbance, or political unrest
- Actions or directives of governmental or regulatory authorities
- Widespread power outages or telecommunications failures
- Pandemic or public health emergency declared by competent authority
The affected party must notify the other party in writing as soon as reasonably practicable after the occurrence of a force majeure event and take all reasonable steps to resume performance at the earliest opportunity.
12 Intellectual Property
All intellectual property associated with the Company, including its brand name, logo, service methodologies, training manuals, and website content, is the exclusive property of Resolute Security Services (U) Ltd. Clients may not reproduce, distribute, or use the Company's intellectual property for any purpose without prior written consent.
Security reports, assessments, and documentation prepared by the Company for a Client shall remain the property of the Company until all fees relating to the engagement have been paid in full, at which point ownership shall transfer to the Client.
13 Data Protection and Privacy
The Company is committed to handling all personal data responsibly and in accordance with applicable data protection laws in Uganda. In providing services, the Company may process personal data relating to the Client's employees, visitors, and residents solely for the purposes of security management.
- Personal data shall not be shared with third parties without the prior written consent of the Client, except where required by law or by a competent authority.
- CCTV footage recorded by Company-installed systems shall be stored securely and retained only for as long as operationally necessary or legally required.
- The Company maintains records of all Personnel in compliance with Uganda Police Force licensing requirements.

14 Complaints and Disputes
The Company is committed to maintaining the highest standards of service. If you have a complaint or concern, we encourage you to follow the procedure below:
- Step 1: Raise the issue in writing with the Company's Operations Manager or Business Development Manager within five (5) working days of the incident.
- Step 2: The Company shall acknowledge your complaint within two (2) working days and provide a full response within ten (10) working days.
- Step 3: If the matter is not resolved to your satisfaction, it may be escalated to the Managing Director for final review.
In the event of a contractual dispute that cannot be resolved through the above process, both parties agree to first attempt resolution through good-faith mediation before resorting to formal legal proceedings.
15 Governing Law
These Terms and Conditions, and any disputes arising from them or from any Service Agreement entered into with the Company, shall be governed by and construed in accordance with the laws of the Republic of Uganda.
The parties submit to the exclusive jurisdiction of the competent courts of Uganda for the resolution of any legal disputes arising from these Terms or any associated Service Agreement.
16 Amendments to These Terms
The Company reserves the right to amend, revise, or update these Terms and Conditions at any time. Clients will be notified of any material changes by email or through the Company website at least fourteen (14) days before the changes take effect.
Continued use of the Company's services following notification of any amendment shall constitute the Client's acceptance of the revised Terms.
